Each Finder’s Warrant entitles the holder to acquire one additional common share of the Company at an exercise price of $0.40 until December 23, 2024.
Management of the Company subscribed for $266,500 of the Offering. The issuances of Units to such insiders are considered related party transactions under Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The Offering remains subject to the final approval of the TSX Venture Exchange. The Unit Shares and Warrant Shares are subject to a four-month hold period ending on October 24, 2023.
